Why the NRS Hasn’t Cracked Down (Yet) on E-Invoicing Defaulters
For months, the Nigeria Revenue Service (NRS) has been sounding the alarm on e-invoicing compliance. Public notices. Deadline extensions. Warnings of “sanctions.” Yet many large taxpayers who missed the compliance window are still operating largely unscathed. So what’s really going on?
A Timeline of Warnings, Not Yet Widespread Punishment
The NRS’s national e-invoicing system, officially known as the Merchant Buyer Solution (MBS), was launched for large taxpayers (companies with annual turnover of ₦5 billion and above) back in August 2025. Since then, the agency has repeatedly pushed back full enforcement:
• August 2025 → November 2025: The original compliance deadline for large taxpayers was extended.
• February 2026: NRS issued a fresh public notice setting a new implementation timeline.
• July 31, 2026: The revised “hard” deadline for large taxpayers to complete onboarding, integration, and invoice transmission.
As of early Q1 2026, only around 1,000 of an estimated 5,000 large taxpayers had fully complied. That means, going into the July 31 deadline, the majority of the very businesses this policy targets were still not onboarded — a compliance gap too large to hit with instant, sweeping sanctions.
Why Penalties Haven’t Landed Hard
1. The law’s penalty structure is punitive, but enforcement has been staged.
Under Section 103 of the Nigeria Tax Administration Act, defaulters face ₦1,000,000 for the first day of non-compliance and ₦10,000 for every subsequent day, with additional exposure of up to ₦200,000 plus 100% of tax due for invoices processed outside the MBS platform. These are serious numbers on paper, but the NRS has so far prioritized notice-and-monitor cycles over immediate mass punishment.
2. Enforcement is phased by taxpayer size, not instant nationwide rollout.
Large taxpayers (₦5bn+ turnover) were first in line, with enforcement beginning after the July 31, 2026 deadline lapsed. Medium taxpayers (₦1bn–₦5bn) aren’t required to go live until July 2026, with their enforcement window not opening until January–March 2027. Smaller businesses won’t be onboarded until 2027 at the earliest. This deliberately staggered approach means the “penalty phase” for most of Nigeria’s tax base literally hasn’t arrived yet.
3. Genuine system readiness gaps.
Full integration requires onboarding through an accredited Access Point Provider or System Integrator, connecting ERP or accounting systems, and passing validation testing. For many businesses especially those still digitizing their internal record-keeping this is a real technical and administrative lift, not just a compliance box to tick.
4. The NRS appears to be building a case for scaled, defensible enforcement.
By first monitoring compliance and publicly naming the enforcement stage the industry is now in, the NRS is laying groundwork that makes future penalty actions harder to dispute — and gives businesses a fair, well-documented runway before the fines start landing widely.
What Changes Now
That runway may be closing. As of the July 31, 2026 deadline, the NRS has confirmed the shift from policy warnings into active enforcement for large taxpayers, with defaulting companies now exposed to statutory sanctions on undeclared invoices. The agency has not yet disclosed exactly how many companies missed the cutoff or how aggressively penalties will be applied but the compliance monitoring phase is officially over for this category.
The Takeaway for Businesses
If your business falls into the large taxpayer bracket and you haven’t completed MBS integration, the grace period is effectively behind you. For medium and emerging taxpayers, the lesson from the large-taxpayer rollout is clear: early preparation beats a last-minute scramble, because the NRS has shown it will eventually convert warnings into real financial consequences.
